2015 Annual Meeting Results
AWF Madison Group Limited is pleased to announce that all resolutions considered at the annual meeting of shareholders held on 22 July 2015 were passed by ordinary resolution.
These were:
1. To authorise the Directors to fix the remuneration of the auditors
2. That Ross Keenan is re-elected as a Director.
3. That Simon Hull is re-elected as a Director
4. That Wynnis Armour is elected as a Director
5. That the Directors fee pool is increased by $150,000 to $350,000

AWF Madison Group Limited confirms that at its Board meeting on the 24 June 2015 and in accordance with earlier guidance, Chief Executive Officer, Mike Huddleston has retired from the company and has been replaced by Simon Bennett as Chief Executive Officer.
Mike has also resigned from the Board of AWF Madison Group Limited effective 24 June 2015.

Notification of Acquisition and Redemption of Securities

Pursuant to Listing Rule 7.12.1, AWF Group Limited (NZX:AWF) advises that the following securities issued by AWF under the AWF Group Restricted Share Scheme (“Scheme”) have been redeemed.
(a) Class of security: Restricted C and D Shares . ISIN not applicable as securities not quoted.
(b) Number redeemed: 20,000 Restricted C Shares and 30,000 Restricted D shares
(c) Redemption price: $2.57 per share.
(d) Payment terms: Cash.
(e) Amount paid up: Fully paid.
(f) Principal terms of the securities: The Restricted Shares are restricted and are unable to be traded until reclassified as ordinary shares on the relevant “Qualification Date” (subject to the holder remaining employed with AWF and the repayment of any loans made by AWF to the holder in respect of the shares). Restricted Shares rank pari passu with existing ordinary shares in respect of rights to dividends and other distributions and voting rights.
(g) Percentage of total class redeemed: 8.70% Restricted C Shares and 8.70% Restricted D Shares.
(h) Reason for redemption: The 50,000 Restricted Shares will not qualify for reclassification as ordinary shares as the relevant holders left the employment of AWF Madison Group Limited before the Qualification Date for those shares. Accordingly, the Restricted Shares are being redeemed by AWF Madison under the rules of the Scheme and cancelled.
(i) Authority for redemption: Directors’ resolution dated 20 May 2015.
(j) Terms of redemption: The aggregate redemption price is to be applied by AWF Madison Group Limited in full repayment of the loans made by the Company to the relevant holder in respect of their Restricted Shares.
(k) Total number of securities of the class in existence after redemption: 210,000 Restricted C Shares and 315,000 D Shares.
(l) Shares to be held as treasury stock: No.
(m) Date of redemption: 17 June 2015.

AWF Group Announces Future Directors Appointment

Rachel Hopkins is to sit on the AWF Group board under the Future Directors scheme, an initiative aimed at deepening the talent pool of directors.
Run by the Institute of Directors, the Future Directors programme was founded by Sir Stephen Tindall, Michael Stiassny and Des Hunt in 2013. It provides talented young executives with the opportunity to gain valuable experience by sitting at the board table of a large or listed New Zealand company for one year.
Institute of Directors acting CEO Simon Arcus says Future Directors offers real value for both host boards and successful candidates.
“The next generation of directors receive mentoring, advice, and practical insight into the boardroom, while host boards get a new perspective and expertise on emerging issues like sustainability and social media.”
AWF Group chair Ross Keenan agrees, saying that while it was a drive to give back that saw founding director Simon Hull sign AWF up to the scheme, Rachel’s skill and experience would be a real asset to the board.
“Rachel represents the next generation of directors,” says Keenan. “We liked her attitude, unbridled enthusiasm, and well-researched approach. She’s a great fit for AWF and her knowledge of communications and technology will be a valuable addition to our board.”
Rachel is General Manager of Marketing and Communications at industry training organisation Competenz, and has a wealth of experience in executive search, education, and economic development. She says that she is thrilled to be part of a growing group of Future Directors.
“This is such an exciting opportunity for me: to learn from leading directors; to observe boardroom dynamics; and to be mentored by chairman Ross Keenan.”

AWF Group worked with executive search firm Hobson Leavy to find the right person for the role, and Keenan says they were delighted with the calibre of the candidates presented.
